AGREEMENT No. RT-______
FOR RENDERING OUTSOURCING
SERVICE AND MAINTENANCE

hereinafter referred as “Customer”,
represented
______________________________,
pursuant to  ______________________, one
the one hand, and
individual  entrepreneur Pavlish
hereinafter referred to as “Contractor”, acting
pursuant to Certificate of State Registration
No. 190567804 dated March 23, 2007, issued
by Minsk City Executive Committee, on the
other hand, have agreed as follows:
1. SUBJECT-MATTER OF THE
AGREEMENT
1.1. According to the present
Agreement the Contractor
provide the Customer with services,
listed in the Appendix No. 1 to the
present agreement and
Customer shall accept them and pay
the  sum  of  money  fixed  in  the
Agreement (remuneration) for  the
services rendered.
1.2. The Contractor guarantees that the
services  will  be  provided  without
interruption  or  pause  within  24
hours 7 days a week. Consult on the
issues of using the services within
the 8-hours working day: from 9.00
to 18.00, remotely, Minsk time.
1.3. The services  are  deemed
provided to the Customer after they
are available to the Customer and
after completed remote training of
the Customer (the Customer’s
personnel).
1.4. The services  rendered  are
available  to  the Customer for  his
own use and the Customer has no
right  to  transfer  them  to  third
parties without  written  permission
of the Contractor.
1.5. Service provision  period by  the
Contractor:

to“___” __________ 201__.
2. PRICE OF WORK
2.1. The cost of  the remuneration for
the services rendered under this Agreement
is established according to the Appendix No.
1 to the present Agreement on conditions of
advance payment.
2.2.  The  Customer  pays  the  above
mentioned  amount  of  remuneration  to  the
Contractor not later than three calendar days
since the moment of signing this agreement.
2.3.  The  settlements  are  made  by
transferring  the  monies  on  the  settlement
account of the Contractor.
2.4.  The  quality  of  the  services
rendered under this Agreement should meet
common requirements to such services.
3. RIGHTS AND OBLIGATIONS OF THE
PARTIES
3.1. The Contractor has the right:
3.1.1.  to  receive  payment  for  the
services rendered;
3.1.2. to receive necessary information
from  the  Customer  and  access  to  such
information for service rendering.
3.2. The Contractor shall:
3.2.1.  render  services  of  good  quality
within  the  established  by  the  agreement
terms;
3.2.2. complete remote training of the
Customer’s  personnel  on  how  to  use  the
services rendered;
3.2.7.   retain   confidentiality   of   the
documents, information, personal
information of the Customer, received in the
framework of execution of the Agreement.
3.3. The Customer has the right:
3.3.1. to require to adjust the services
rendered  by  the  Contractor  if  they  don’t
correspond to the Appendix No. 1;
3.3.2. to withdraw from the agreement
and to pay actual expenses of the Contractor;
he should notify the Contractor in advance,
not   less   than   two   months   before   the
anticipated  date  of  the  termination  of  the
agreement;
3.4. The Customer shall:
3.4.1.  accept  the  services  rendered
according  to  the  Appendix  No.  1  to  the
present agreement;
3.4.2.    pay    monthly    amount    of
remuneration to the Contractor;
3.4.3.  provide   the   Contractor   with
access  to  necessary  information  under  his
request and also with possibility of remote
training of the Customer.
4. RESPONSIBILITY OF THE PARTIES
4.1. The parties are responsible for non-
fulfillment  or  improper  fulfillment  of  the
obligations under this Agreement according
to the current legislation of the Republic of
Belarus.
4.2. The Customer pays the Contractor
a forfeit in the amount of 0,5% of the total
amount of late obligation for every day of
delay for late payment of the remuneration.
If the Contractor doesn’t receive the monthly
payment, he has the right to stop providing
the services to the Customer on a unilateral
basis.
5. FORCE MAJEURE (ACTS OF GOD)
5.1. Neither of the parties is responsible
to  the  other  party  for  non-fulfillment  of
obligations,   which   is   determined   by
circumstances which occurred regardless of
the will and wishes of the parties and which
cannot  be  foreseen  or  avoided,  including
declared  or  actual  war,  civil  disorders,
epidemics, blockades, embargo, earthquakes,
floods, fires and other natural disasters.
5.2. Document, issued by correspondent
authorized body, is a sufficient corroboration
of  occurrence  and  duration  of  the  force
majeure.
5.3. The party, which doesn’t fulfill its
obligation   due   to   force   majeure,   shall
immediately  inform  the  other  party  of  the
impediment and its effect on the fulfillment
of obligations under the Agreement.
6. SETTLEMENT OF DISPUTES
6.1.   All   the   disputes   arising   in
connection with the present Agreement are
settled by negotiations.
6.2.  If  no  consensus  is  achieved,  the
disputes   are   settled   in   the   Court   of
Jurisdiction   and   Cognizance   under   the
legislation of the republic of Belarus.
7. CONTRACT PERIOD AND ORDER OF
ITS TERMINATION
7.1. This Agreement comes into force
since it is signed by the parties and is valid
until the parties fulfill their obligations under
this Agreement in full scope.
7.2. The Agreement can be terminated it
two cases:
7.2.1. Under agreement of the parties.
7.2.2.  On  other  grounds,  provided  by
this Agreement and the current legislation.
8. FINAL PROVISIONS
8.1. This Agreement is drafted in two
originals, which have equal legal force, one
for each party.
